Terms of Use
1. Who we are and what we do
SGRON (Smart Geo Router, "SGRON", "we") provides a payment page and an API that let online merchants accept payments that settle in stablecoins. SGRON is a technology provider. We are not a bank, a payment institution, an exchange or a custodian, and we never hold money or digital assets on behalf of buyers or merchants.
Card, Apple Pay and Google Pay payments are processed by independent providers, currently Stripe and MoonPay, through the wallet infrastructure of Privy, and in some cases thirdweb. These providers sell USDC to the buyer under their own terms, run their own identity checks and are responsible for their part of the payment.
2. How a card payment works
- The buyer accepts these terms, the provider's terms and the automatic transfer to the merchant by ticking the boxes on the payment page.
- The buyer signs in with an email code. A self-custodial wallet is created for that email by Privy. The wallet belongs to the buyer; SGRON has no access to its keys.
- The buyer pays the card provider, which delivers USDC to the buyer's wallet.
- The buyer's wallet signs, in advance, a transfer of the exact order amount to the merchant's address with a deadline. When the USDC arrives, our relayer submits that signed transfer and pays the network fee. The relayer cannot change the amount, the recipient or the deadline.
- The invoice is marked paid once the transfer to the merchant is confirmed on the blockchain.
A buyer can also pay from their own crypto wallet by sending the exact amount shown on the payment page to the address shown there.
3. Buyers
The purchase itself, including delivery, quality, returns and refunds of goods or services, is a matter between the buyer and the merchant. Questions about an order go to the merchant. Questions about a card charge or identity check go to the card provider.
Blockchain transfers are final once confirmed. If a transfer to the merchant cannot be completed, for example because the invoice expired before the USDC arrived, the funds remain in the buyer's own wallet and the payment page lets the buyer send them to an address of their choice.
The buyer must use their own card and their own email, and must not use the service for any unlawful purpose.
4. Merchants
- A merchant account is opened in the console at pay.sgron.com. The merchant keeps its password, two factor codes, API keys and webhook secret confidential and is responsible for all actions taken with them.
- The merchant sets its own wallet addresses and is responsible for their correctness. Payments go to the address in the invoice and cannot be redirected.
- The merchant sells only lawful goods and services, describes them truthfully and handles its own customer service, returns and refunds.
- The merchant complies with the laws that apply to its business, including tax, consumer protection and sanctions rules.
- We may suspend an account or stop issuing new invoices if these terms are breached, if fees are overdue, or if a provider or the law requires it.
5. Fees
Buyers pay no SGRON fee. The card provider may charge its own fees and network costs, which it shows before the purchase.
Merchants receive the full amount of each payment. The SGRON fee is a percentage of each paid invoice, agreed with the merchant and fixed in every invoice at creation. Fees accrue only on paid invoices and are billed in a statement every day at 00:00 UTC and on request. Statements are settled in USDC to the address stated on them.
6. Availability
We work to keep the service available but do not guarantee uninterrupted operation. Payments depend on card providers, wallet infrastructure and public blockchains that we do not control. A test mode on test networks is provided for integration; test assets have no value.
7. Liability
To the extent permitted by law, SGRON is not liable for losses caused by card providers, wallet providers, blockchain networks, incorrect addresses supplied by a merchant, or the goods and services sold by a merchant. Nothing in these terms limits liability that cannot be limited by law, including liability for intent or gross negligence.
8. Changes
We may update these terms. The version and date on this page apply to payments made from that date. Merchants are informed of material changes in advance through the console.
9. Contact
